General Terms and Conditions (Status 2022)

§ General
Our sales are exclusively subject to the following terms and conditions. We are not bound by our customers’ terms and conditions of purchase, even if we do not object to them. If our delivery is accepted, our terms and conditions of sale and payment shall be deemed accepted.
Our transactions are exclusively B2B transactions (transactions between two companies) to the exclusion of the right of withdrawal.

§ Offers
Our offers are non-binding. Incoming orders shall only become binding for us upon confirmation received by you. This also applies to verbal agreements and declarations of any kind.

§ Orders
All orders as well as any changes thereto must be sent to us in writing.

§ Delivery
Delivery is always ex works; dispatch and packaging are carried out at our best discretion.

§ Complaints
Complaints must be sent to us in writing within 30 days of the delivery date.

§ Packaging and shipping
Packaging and shipping will be charged at cost price.

§ Payment
Our invoices are payable within 8 days after receipt of the invoice. Invoices are payable strictly net, without deduction of discount or other deductions, unless otherwise stated on the invoices. In the event of failure to make punctual payment, we reserve the right to charge interest on arrears and the cost of bank credits at the applicable rate. We reserve the right to process orders by customers abroad, new customers and customers with a negative payment history only against payment in advance.

§ Retention of title
The delivered goods remain our property until full payment has been received. If the goods are sold before then, the claim arising from the sale shall be deemed to have been assigned to us. If amounts are received from the claim, these must be transferred to us.

§ Place of performance and jurisdiction
Place of performance for delivery and payment is Hildesheim. The place of jurisdiction for both parties is the Local Court of Hildesheim, Germany.
